Pipe and Drape USA, LLC ("Company," "we," "us," or "our") is a manufacturer and retailer of pipe and drape systems, drapery panels, hardware, and related event products, headquartered in Fort Lauderdale, Florida. These Terms and Conditions ("Agreement") govern all purchases made through our website, by phone, by email, or through any authorized sales representative.

2. ACCEPTANCE OF TERMS

By placing an order with Pipe and Drape USA, you ("Purchaser," "Customer," or "you") represent that:

• You are at least 18 years of age;
• You have the legal authority to enter into this Agreement;
• You have read and understood these Terms and Conditions in full;
• You agree to be legally bound by them.

These Terms supersede any prior agreements, representations, or understandings between the parties, whether written or oral.

3. PRODUCTS — DESCRIPTIONS, SPECIFICATIONS & LIMITATIONS

We make reasonable efforts to accurately describe our products. However:

• Product photographs, colors, and dimensions are for illustrative purposes and may vary slightly from the actual product due to manufacturing tolerances, screen calibration, or material sourcing.
• Raw steel bases are sourced from multiple mills. Appearance (finish, color) may vary between batches without affecting structural integrity or performance.
• Fabric blackout percentages are approximate and may vary by lot.
• Load ratings and weight capacities listed for uprights, crossbars, and bases are maximum theoretical limits under ideal conditions. Real-world conditions — including but not limited to wind, uneven flooring, fabric weight, drape tension, and user error — can significantly reduce safe operating capacity.

THE COMPANY MAKES NO WARRANTY THAT ANY PRODUCT WILL MEET THE PURCHASER'S SPECIFIC PERFORMANCE REQUIREMENTS OR INTENDED USE CASE.

4. PROPER USE — PURCHASER'S RESPONSIBILITY

4.1 Intended Use

Our products are designed and intended solely for use as decorative event draping systems, backdrops, trade show displays, photography backgrounds, and similar non-structural, non-load-bearing decorative purposes in controlled indoor environments.

4.2 Prohibited and Improper Uses

The following uses are strictly prohibited and are entirely at the Purchaser's own risk. THE COMPANY SHALL BEAR NO LIABILITY WHATSOEVER FOR INJURY, DAMAGE, LOSS, OR CLAIM ARISING FROM:

• Use outdoors without proper anchorage, engineering, or weather considerations;
• Use in high-wind, high-humidity, or severe weather environments;
• Hanging or suspending loads, lighting fixtures, audio equipment, or any items beyond the product's rated capacity;
• Using uprights, crossbars, or bases in any structural, architectural, or load-bearing application;
• Failure to follow setup instructions, including failure to extend uprights in the correct sequence (top section first, then lower section);
• Use of the system by untrained personnel without adequate supervision;
• Modification, welding, cutting, drilling, or alteration of any product;
• Use in violation of any applicable local, state, or federal safety codes, fire codes, or building regulations;
• Use in proximity to open flame, heat sources, or sparks where drape fabric is not rated for such exposure;
• Overcrowding of drape fabric beyond designed capacity per panel;
• Any other use that deviates from the product's intended decorative purpose.

4.3 Setup Compliance

The Purchaser is solely responsible for proper installation, assembly, and breakdown of all products. Setup videos and FAQs provided on our website are for general guidance only and do not substitute for professional judgment. When in doubt, consult a qualified event production professional.

4.4 Fire Safety Compliance

All drape fabrics sold by Pipe and Drape USA carry Inherently Flame Resistant (I.F.R.) certification, and flame certificates are available upon request. However:

• Fire marshal inspections and local fire code requirements are the Purchaser's sole responsibility;
• The Company does not represent or warrant that our products meet the fire safety requirements of any specific jurisdiction;
• The Purchaser must independently verify local fire code compliance before use in any public venue.

5. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

5.1  IN NO EVENT SHALL PIPE AND DRAPE USA, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF GOODWILL, PROPERTY DAMAGE, OR PERSONAL INJURY, ARISING OUT OF OR IN CONNECTION WITH THE USE OR MISUSE OF OUR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5.2  OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR YOUR PURCHASE SHALL NOT EXCEED THE TOTAL PURCHASE PRICE ACTUALLY PAID BY YOU TO US FOR THE SPECIFIC PRODUCT(S) GIVING RISE TO THE CLAIM.

5.3  SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

6. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Pipe and Drape USA, its owners, managers, employees, agents, successors, and assigns from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of our products;
• Your violation of these Terms and Conditions;
• Your violation of any applicable law, regulation, or third-party right;
• Any injury, death, or property damage caused by improper setup, use, or storage of our products;
• Your failure to comply with fire safety, building, or event permitting requirements.

7. ORDERS, PRICING & PAYMENT

• All prices are in U.S. Dollars and are subject to change without notice.
• Orders are subject to acceptance and confirmation by the Company.
• We reserve the right to refuse or cancel any order at our discretion.
• Pricing errors are not binding; the Company will notify you and provide an opportunity to confirm or cancel your order.

8. SHIPPING & DELIVERY

• Estimated ship times (typically 3–10 business days depending on product and location) are estimates only and not guarantees.
• Title and risk of loss transfer to the Purchaser upon delivery to the carrier.
• The Company is not responsible for delays caused by carriers, weather, customs, or events beyond our control.
• Rush orders are accommodated on a best-effort basis and are not guaranteed.

9. RETURNS, REFUNDS & RESTOCKING

• Returns must be authorized in writing within ten (10) days of receipt. No unauthorized returns will be accepted.
• A 35% restocking fee applies to all eligible unused returns. Freight costs for returned items are the Purchaser's responsibility.
• CUSTOM AND NON-RETURNABLE ITEMS: All drapery panels, custom-sewn fabrics, storage carts, and any items modified to your specifications are final sale and cannot be returned under any circumstances.
• Used products cannot be returned.
• Damaged items: Contact our office for free replacement consideration. Claims must be made promptly upon receipt.

10. FORCE MAJEURE

The Company shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, labor disputes, supply chain disruptions, carrier failures, government actions, or trade restrictions.

11. GOVERNING LAW & DISPUTE RESOLUTION

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms, your purchase, or our products shall be resolved exclusively in the state or federal courts located in Broward County, Florida. You consent to the personal jurisdiction and venue of such courts.

WAIVER OF JURY TRIAL: TO THE EXTENT PERMITTED BY LAW, BOTH PARTIES WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING UNDER THESE TERMS.

12. SEVERABILITY

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions.

13. ENTIRE AGREEMENT

These Terms and Conditions, together with any order confirmations, constitute the entire agreement between you and Pipe and Drape USA with respect to your purchase and supersede all prior or contemporaneous communications, representations, and agreements.

14. MODIFICATIONS

Pipe and Drape USA reserves the right to update or modify these Terms at any time. Changes will be effective upon posting to our website. Your continued purchase or use of our products after changes are posted constitutes your acceptance of the revised Terms.

10-Year Limited Hardware Guarantee

1. Overview

Pipe and Drape USA ("Company," "we," "us," or "our"), a company based in Florida, offers a limited 10-Year Hardware Guarantee (the "Guarantee") on eligible hardware products purchased directly from pipeanddrapeusa.com. This Guarantee is provided in addition to any rights you may have under applicable law and is subject to the terms and conditions set forth herein.

PLEASE READ THESE TERMS CAREFULLY. BY SUBMITTING A GUARANTEE CLAIM, BY PURCHASING YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.

2. What This Guarantee Covers

This Guarantee applies exclusively to the following hardware/metal components sold by Pipe and Drape USA:

• Uprights (adjustable and fixed)
• Bases and base plates
• Crossbars and drape supports
• Other structural metal hardware components, as identified on your order confirmation

The Guarantee covers defects in materials and workmanship that arise under normal, intended use during the 10-year period beginning on the original date of purchase (the "Guarantee Period").

THIS GUARANTEE DOES NOT COVER fabric drape panels, textiles, accessories, or any non-hardware components. Those items, if any, are subject to separate warranty terms disclosed at the time of purchase.

3. What This Guarantee Does Not Cover

The following are expressly excluded from coverage under this Guarantee:

• Normal wear and tear, including but not limited to scratches, dents, fading, oxidation, and surface deterioration resulting from regular use over time;
• Damage caused by misuse, abuse, neglect, improper assembly, or failure to follow Pipe and Drape USA’s product instructions or guidelines;
• Damage caused by exposure to outdoor or adverse weather conditions, including but not limited to rain, humidity, extreme temperatures, UV radiation, saltwater, or corrosive environments — our hardware is designed for indoor use only;
• Damage resulting from use of the product for commercial rental purposes beyond its intended design specification, including high-frequency rental cycling or industrial-scale deployment not contemplated at the time of sale;
• Products that have been modified, altered, repaired by unauthorized third parties, or used with incompatible components;
• Damage caused by accidents, acts of God, fire, flood, or other events beyond the Company’s control;
• Cosmetic damage that does not affect the structural functionality of the product;
• Products purchased from unauthorized resellers or third-party marketplaces (e.g., Amazon, eBay).

4. Who May Make a Claim

This Guarantee is personal to the original purchaser of the product (the "Original Purchaser") and is non-transferable. Only the Original Purchaser who completed the transaction directly with Pipe and Drape USA at pipeanddrapeusa.com is entitled to make a claim under this Guarantee.

This Guarantee may not be transferred, assigned, or conveyed to any subsequent owner, buyer, or recipient of the product, whether through resale, gift, inheritance, or any other means.

5. Proof of Purchase Requirement

To make a valid Guarantee claim, the Original Purchaser must provide:

• The original order number issued by Pipe and Drape USA at the time of purchase; or
• A copy of the original receipt or order confirmation email from pipeanddrapeusa.com.

Claims submitted without valid proof of purchase will not be processed. Pipe and Drape USA reserves the right to verify the authenticity of purchase records before approving any claim.

6. How to Submit a Claim

To initiate a Guarantee claim, the Original Purchaser must contact Pipe and Drape USA using one of the following methods:

Option A — Email Submission:

Send an email to the Company’s customer service address (as listed on pipeanddrapeusa.com at the time of your claim). Your email must include:

• Your full name and contact information;
• Your original order number or proof of purchase;
• A clear written description of the alleged defect; and
• Photographs clearly depicting the defect and the product as a whole.

Option B — Phone Submission:

Call Pipe and Drape USA’s customer service line (as listed on pipeanddrapeusa.com). A representative will guide you through the claim process. You will be required to follow up in writing with the information listed in Option A above.

Pipe and Drape USA will review your claim and respond within a reasonable time. We reserve the right to request additional information, photographs, or the return of the allegedly defective item before making a determination.

7. Remedy

If a claim is approved and the defect is determined to fall within the scope of this Guarantee, Pipe and Drape USA will, at its sole discretion, provide free replacement of the defective item with the same or a substantially equivalent product.

Replacement of a product does not restart or extend the Guarantee Period. The Guarantee Period for any replacement item continues from the original date of purchase of the defective item.

Pipe and Drape USA does not guarantee the continuous availability of the exact same product. If the original item is discontinued, we will replace it with a comparable item of equal or greater value, at our discretion.

8. Shipping and Return Costs

Shipping and return costs associated with Guarantee claims will be handled on a case-by-case basis, as determined by Pipe and Drape USA at the time the claim is approved. The Company will communicate shipping responsibilities to the claimant in writing prior to processing any return or replacement.

Pipe and Drape USA reserves the right to require the return of a defective item prior to shipping a replacement. Items returned without prior authorization may not be accepted.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(a) THE COMPANY’S TOTAL LIABILITY UNDER THIS GUARANTEE SHALL NOT EXCEED THE ORIGINAL PURCHASE PRICE PAID BY THE ORIGINAL PURCHASER FOR THE SPECIFIC DEFECTIVE ITEM(S) GIVING RISE TO THE CLAIM.

(b) IN NO EVENT SHALL PIPE AND DRAPE USA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO THIS GUARANTEE OR THE USE OF OUR PRODUCTS, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF BUSINESS, EVENT CANCELLATION COSTS, REPUTATIONAL DAMAGE, OR ANY OTHER ECONOMIC LOSS, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some states do not allow the exclusion or limitation of incidental or consequential damages. To the extent such limitations are prohibited by applicable law in your jurisdiction, the above limitations may not apply to you.

10. Disclaimer of Implied Warranties

THIS GUARANTEE IS EXPRESSLY IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, TO THE EXTENT PERMITTED BY APPLICABLE LAW. THE COMPANY MAKES NO REPRESENTATION THAT THE PRODUCTS WILL BE FREE FROM DEFECTS BEYOND THE SCOPE OF THIS GUARANTEE.

11. Governing Law and Dispute Resolution

This Guarantee shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Any dispute arising out of or related to this Guarantee shall first be submitted to good-faith negotiation between the parties. If unresolved, disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida, and each party consents to personal jurisdiction in such courts.

12. Modifications to This Guarantee

Pipe and Drape USA reserves the right to modify or discontinue this Guarantee at any time with respect to future purchases. Any modifications will not affect claims arising from purchases made prior to the effective date of such modification. The version of this Guarantee in effect at the time of your purchase will govern your claim.

13. Severability

If any provision of this Guarantee is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions of this Guarantee shall continue in full force and effect.

14. Entire Agreement

These Terms and Conditions constitute the entire agreement between Pipe and Drape USA and the Original Purchaser with respect to the Guarantee and supersede all prior or contemporaneous representations, warranties, or agreements, whether written or oral, relating to the subject matter herein.
